The Role

Chainway Labs seeks a seasoned General Counsel to join our team, reporting directly to COO. You will serve as a corporate generalist, providing strategic, business-oriented legal advice and comprehensive transactional support across Citrea's innovative blockchain and crypto initiatives. The ideal candidate will efficiently navigate complex global legal frameworks associated with blockchain technology, digital assets, web3, and DeFi, proactively addressing both corporate and product legal matters. You should possess a solid foundation in corporate or technology law, preferably with direct crypto/blockchain experience or a keen readiness to rapidly develop a deep understanding of the field.

Responsibilities

• Deliver strategic legal counsel aligned with company objectives, effectively managing risk across diverse matters, including corporate, securities, intellectual property, employment, privacy, marketing, and global regulatory compliance.
• Provide comprehensive transactional support and manage external counsel relationships related to investments, partnerships, and other strategic corporate transactions.
• Act as a lead negotiator on complex business development agreements, including infrastructure partnerships and b2b arrangements within the Citrea ecosystem.
• Serve as the primary legal advisor for fundraising activities, ensuring strict compliance with relevant securities regulations (e.g., Cayman Islands, U.S., and European jurisdictions).
• Provide practical, proactive, and actionable legal support throughout the full product lifecycle—from ideation, design, and development through launch and ongoing operation.
• Collaborate closely with internal stakeholders (Engineering, BD & Ecoystem, Marketing, Finance, and Operations teams) to integrate legal compliance seamlessly into product strategies and provide non-legal advice to Citrea Ecosystem companies.
• Advise internal teams on compliance obligations such as money transmission regulations, Anti-Money Laundering (AML), Know-Your-Customer (KYC), consumer protection, privacy, and other relevant financial regulatory matters.
• Continuously monitor global regulatory developments (e.g., SEC actions, MiCA, global privacy legislation) and provide strategic guidance to leadership on potential impacts.
• Develop and maintain scalable legal processes supporting Citrea’s rapid growth, ensuring organizational efficiency.
• Synthesize complex legal, technical, and business considerations, delivering actionable guidance to executive leadership.

Requirements

• Law degree from an accredited law school and qualification to practice law in relevant jurisdictions (U.S., Cayman Islands)
• Minimum 5 years of relevant legal experience, ideally combining major law firm experience and significant in-house counsel roles in fintech, blockchain, technology, or related sectors.
• Minimum 2 years of focused experience within the Web3, blockchain, or cryptocurrency industries.
• Demonstrated experience advising product and engineering teams launching innovative financial services or technology products, with comprehensive understanding of associated legal frameworks.
• Proven track record managing AML/KYC requirements, regulated financial activities, and related compliance frameworks.
• Expertise in corporate law, intellectual property, investments/acquisitions, securities regulations, and global regulatory affairs pertinent to blockchain and digital assets.
• Entrepreneurial and strategic mindset, capable of thriving in a dynamic, rapidly evolving environment.
• Strong legal drafting, negotiation, communication, and interpersonal skills, with the ability to independently manage multiple complex matters under pressure.
• Demonstrated ability to collaborate effectively cross-functionally, anticipate organizational needs, prioritize tasks strategically, and solve complex problems proactively.
